GreenCo acts as an intermediary offtaker and service provider, purchasing power from renewable IPPs and selling that electricity to utilities and private sector offtakers (i.e. commercial and industrial users) and markets of the Southern Africa Power Pool (SAPP). Through its activities, GreenCo will increase the supply of, and demand for, finance for energy projects, and mobilise private sector capital more quickly towards critical and transformative capacity addition.

B. The Role in Context .

Key duties of the role:
• Coordinating and attending board and committee meetings of GreenCo, preparing agendas and minutes for the same, circulating documents to be considered at the meetings and pursuing follow up actions and reports on matters arising;
• Coordinating and attending board and committee meetings of GreenCo’s parent company (Africa GreenCo Group (AGG) based in Mauritius), preparing agendas and minutes for the same, circulating documents to be considered at the meetings and pursuing follow up actions and reports on matters arising;
• Convening and servicing shareholder general meetings (AGMs and EGMs) for GreenCo and AGG (producing agendas, taking minutes, conveying decisions, handling meeting correspondence);
• Coordinating with GreenCo and AGG statutory company secretaries to ensure all necessary filings and other corporate matters are up to date;
• Keeping up to date with any regulatory or statutory changes and policies that might affect the organisation;
• Ensuring that corporate governance and other company policies are up to date and are approved, including any periodic review, amendments and re-approvals;
• Implementing processes or systems to help ensure good corporate governance of the organisation and compliance with legislation;
• Writing reports and processing all reporting requirements for the company in relation to corporate and compliance matters;
• Follow up and co-ordination with external law firms, HR and other service providers in relation to corporate and compliance matters;
• Ensuring, controlling and monitoring compliance with legislative requirements and best practices for corporate governance in the energy sector, especially concerning PPA and IPP procurement procedures as well as Electricity Sector Regulation with reference to the Electricity Act and Energy Regulation Act;
• Ensure the company’s procurement processes comply with internal guidelines and applicable legislation;
• Draft and/or review correspondence such as memoranda, letters, notes, reports, circulars and instructions;
• Maintaining key corporate documents and records;
• Ensure a solid understanding of the company’s business at all times;
• Work with the company’s HR advisers to ensure all employment compliance matters are adhered to;
• Update compliance records and present deviations to management;
• Lead and maintain the overall approach, system and processes for GreenCo’s reporting to its stakeholders including regulators, funders and investors;
• Maintain a report tracking system to ensure that responsible staff are aware of upcoming deadlines, including key project milestones and deliverables, as well as tracking expenditures against budgets;
• Ensure, to the extent possible, that the project progress reports are based on results-based monitoring and evaluation, including the impact of projects;
• Liaise with the finance team to ensure that narrative and financial reports align with one another;
• Act as a central point of organizational expertise on donor/investor compliance requirements, ensuring that relevant staff are informed of such requirements.

C. Personal Attributes, Qualifications and Experience
The Reporting and Compliance Manager will be expected to bring a combination of the following experience, personal attributes and qualifications:
• A minimum of a university degree level education, preferably in Law with secretarial qualifications;
• Project management experience;
• Demonstrated knowledge and exposure to a substantive field of work with a minimum of ten years experience in a similar role as a secretary/lawyer preferably in the power sector;
• Must be fluent in written and oral English. Excellent written and spoken communication skills with an exceptional eye for detail is required;
• Experience of reporting to, and knowledge of compliance requirements of, major institutional donors and investors and ability and skills to establish compliance systems;
• Previous experience in report preparation and developing relevant procedures, compliance and governance policy documents;
• Familiarity with health & safety, environmental & social considerations and legal requirements;
• Ability to build relationships and work collaboratively;
• Innovative self-starter who can work on own initiative to problem solve and help build the company’s risk and compliance function.

This is a full-time role and whilst the normal working week is 40 hours, it is expected that the ideal candidate will be prepared to both work and travel as required to fulfil the objectives of the business.
