Request for Proposals:
Strategic Change Facilitator: Guiding changes to administrative functions of the North Luangwa Conservation Programme.

Background:
The Frankfurt Zoological Society conserves wildlife and ecosystems, focusing on protected areas and outstanding wild places. FZS maintains long-term conservation programmes in Africa, South America, Asia, and Europe. The Africa Programme is FZS’s largest and oldest and is active in five focal countries: the Democratic Republic of Congo, Ethiopia, Tanzania, Zambia, and Zimbabwe (www.fzs.org).

FZS Zambia (FZS ZM) has been active in the North Luangwa Ecosystem since 1986 and in Nsumbu since 2017, working to conserve these globally important wilderness areas. FZS ZM supports effective and efficient protected area management, focusing on law enforcement, conservation education, and empowering communities in GMAs to manage their resources. FZS ZM continues to seek to expand its activities both in geographical and thematic scope.

On 28 July 2023, FZS and the Department of National Parks and Wildlife (DNPW) concluded negotiations and signed a Co-Management Partnership (CMP) agreement for the management of North Luangwa National Park (NLNP). A new management company limited by guarantee, North Luangwa Management (NLM) Ltd., was established to manage the National Park under the terms of the agreement. There are several stipulations for the governance and implementation of the agreement that require additional focus and capacity, which has necessitated this call for proposals to conduct work for FZS on a consulting basis.

Terms of Reference:
The current North Luangwa Conservation Programme management team requires services in support of the setup of a new company in line with the Co-Management Partnership (CMP) agreement between FZS and DNPW for the long-term management of North Luangwa National Park.

The chosen consultant or firm will need to familiarize themselves with the Co-Management Agreement, NLNP General Management Plan, and other contextual compliance-related legislation, e.g., the Employment Code Act, Wildlife Act, GRZ employment terms and conditions, current FZS employment terms and conditions, and DNOW employment terms and conditions, as well as legislation and taxation guidelines that govern business operations for such an entity in Zambia. This background information will be key to assisting NLM Ltd. in achieving some of the key precedent tasks described in the CMP agreement, as follows:

Task 1: In reference to CMP Article 4 Conditions Present the task as follows:
“Drafted and approved all internal policies, handbooks, and manuals concerning human resources matters, discipline, and codes of conduct; and concluded and signed employment contracts with the Executive Management Team and other staff contracted directly by NLM.”

Gather relevant HR and financial management manuals, codes, and guidelines from DNPW and FZS.

In consultation with the Executive Management Team, develop a Human Resources and Financial Operational Manual. Align, consolidate, and rebrand all relevant documents to create a comprehensive set of finance and human resource management documentation that meets the requirements of the organization and the CMP agreement.

Cross-reference all created and compiled documents with the management requirements outlined in the CMP agreement and ensure alignment.

Output 1: Using current policies and procedures as a base, create a set of aligned policies and procedures for human resource and financial management.

Task 2: Change management strategy
Given the considerations and alterations to policies as completed in task 2, in consultation with the Executive Management Team, create a change management strategy and communications plan that will explain any changes to conditions of service and organistaional structure as executed in task 2 to the relevant stakeholders.

Output 2: A consolidated list of changes that will affect stakeholders and a communications plan that will inform and empower the team to make the transition seamlessly.

Proposal submission details

1.1. Technical Proposal
The technical proposal must address each of the criteria stated below explicitly and separately.

Information to provide: Explain how you will deliver the required outputs specified in the ToR.

Information to provide: CV and relevant qualification(s).

Description 3: Demonstrated experience and expertise in similar assignments
Information to provide: Supply evidence of at least one other consultancy or work project similar to this assignment

Description 4: Work plan
Information to provide: Timeline of activities that will result in the successful completion of the tasks as outlined in the ToR.

1.2. Financial Proposal
1.2.1. The financial proposal must be a fixed and firm price for the provision of the goods and services stated in the ToR in their entirety.
1.2.2. Prices include all costs
Submitted rates and prices are deemed to include all costs, insurance, and taxes. FZS will not accept charges beyond those clearly stated in the financial proposal. This includes applicable withholding taxes and similar. It is your responsibility to determine whether such taxes apply to your organisation and to include them in your financial proposal.

All rates and prices submitted by proposers shall be in USD.
