SCOPE Zambia is pleased to invite applications from suitably qualified and interested candidates to join its Board as Legal Counsel. This is a voluntary position that plays a critical role in providing legal guidance and ensuring the organization’s compliance with applicable laws and regulations.

Position: Legal Counsel (Board Member)

Type: Voluntary / Unpaid
Commitment: Availability for at least 4 board meetings per year, with the possibility of additional duties as required
Expenses: Scope Zambia will cover all costs related to meetings and board activities

Key Responsibilities

As Legal Counsel to the Board, you will:

  • Provide accurate and timely legal advice to the Board and management on a variety of legal matters including corporate governance, contracts, compliance, labor law, and regulatory issues.
    • Assist in drafting, reviewing, and solidifying agreements, contracts, and other legal documents to protect the organization’s interests.
    • Monitor compliance with internal governance policies and applicable laws.
    • Collaborate with the Board and management to develop legal strategies and risk management approaches.
    • Represent the organization in legal matters and liaise with external legal advisors or regulatory bodies when necessary.
    • Keep the Board informed of relevant changes in legislation and legal trends that may impact the organization.
    • Support the Board in handling complex legal issues involving multiple stakeholders.
    • Provide clarification and interpretation of legal language and implications to non-legal members of the organization.
    • Attend and actively participate in board meetings and any additional sessions as required.

Qualifications and Skills

Candidates should possess:

  • A Bachelor of Laws (LLB) degree or equivalent legal qualification; admission to the Zambian Bar is highly desirable.
    • Proven experience as a Legal Counsel or in a similar legal advisory role, preferably with exposure to corporate or non-profit governance.
    • Strong knowledge of Zambian corporate law, regulatory frameworks, and compliance requirements.
    • Excellent analytical, problem-solving, and risk assessment skills.
    • High ethical standards, integrity, and sound professional judgment.
    • Outstanding communication and interpersonal skills, with the ability to explain complex legal concepts clearly.
    • Ability to work collaboratively with a diverse Board and management team.
    • Commitment to volunteerism and the mission of Scope Zambia.

Additional Information

  • This is a voluntary role; no salary or stipend will be paid.
    • Candidates must be able to commit to attending at least four board meetings annually, with flexibility for additional duties as needed.
    • Scope Zambia will reimburse all reasonable expenses incurred in relation to board meetings and official duties.
    • The successful candidate will join a dynamic and committed Board, contributing to the strategic direction and legal integrity of Scope Zambia.
