Background
Olinda Mining Limited is a leading mining company in Zambia, specializing in the extraction of mineral resources such as fluorides. To continue supporting the government's job creation initiatives, we are seeking qualified, innovative, and dynamic individuals to fill the following vacancy at our main office in Makeni along Chipwenupwenu Road in Lusaka District.
Position Overview
A Company Lawyer (or Legal Counsel/in house Counsel) provides strategic legal advice, ensures regulatory compliance for (ZRA, PACRA,ZEMA , Ministry of Mines), drafts/reviews contracts, manages litigation & debt recovery, conducts due diligence, and advises on corporate governance, with key duties including risk mitigation, stakeholder liaison and maintaining up-to-date legal knowledge for operational soundness.
Key Responsibilities
- Legal Advisory: Provide expert advice on company operations, transactions, investments and risk management.
- Contract Management: Draft, review and negotiate various agreements (e.g., sales, leases, finance and supply).
- Compliance & Governance: Ensures adherence to Zambian laws and regulations (e.g., Mines Act, ZEMA,) and corporate governance standards and also ensuring that the company adheres to statutory requirements from agencies such as PACRA, ZRA, and the Ministry of Mines. This includes maintaining corporate records and supporting board secretarial duties.
- Litigation & Dispute Resolution: Represent the company in court, manage cases, guide external lawyers and handle debt recovery.
- Provide legal advisory support on all company-related matters, including compliance with the Mines Minerals Development Act and related regulations and international laws.
- Audits and Inspections: Lead regular audits, Site inspections and compliance assessment to identify and correct legal violations.
- HR Support :Support the HR functions with labour law guidance, employment contracts and dispute resolution.
- Due Diligence: Conduct legal checks for new ventures, investments and projects.
- Regulatory Liaison: Liaise with regulators, government agencies and other stakeholders.
- Documentation & Records: Oversee legal documents, licenses and maintain legal files.
- Risk Management: Identify, assess and mitigate legal, regulatory and operational risks.
Essential Skills & Knowledge
- Strong analytical, research and problem-solving abilities.
- Excellent communication (written & verbal) and interpersonal skills.
- Practical commercial approach and ability to work with non-technical staff.
- Detail-oriented with strong decision-making skills.
- Ability to work independently and within a team.
Typical Qualifications
- Bachelor of Laws (LLB) degree.
- Admission as an Advocate of the High Court of Zambia.
- Valid Practicing License from the Law Association of Zambia (LAZ).
- Experience in commercial law, litigation, or specific industry regulations (e.g., Mining)
