To provide expert legal and strategic advice to the organization, ensuring compliance with laws and regulations while mitigating legal risks. The Legal Counsel will support corporate governance, regulatory compliance, litigation, and commercial transactions, working closely with senior management and the Board of Governors.

Key Responsibilities:

1. Legal Advisory & Risk Management

  • Provide strategic legal guidance to senior management and the Board on corporate governance, regulatory compliance, and business operations.
  • Analyze and interpret laws, rulings, and regulations affecting the company.
  • Mitigate legal risks by developing and enforcing company policies and procedures.

2. Contract Drafting & Negotiation

  • Draft, review, and negotiate commercial contracts, agreements, and legal documents.
  • Ensure all contracts comply with local, state, and industry regulations.

3. Litigation & Dispute Resolution

  • Represent the company in civil and criminal cases.
  • Manage external counsel and oversee litigation strategies.

4. Corporate Governance & Compliance

  • Assist the Corporate Secretary & General Counsel in governance matters.
  • Ensure compliance with corporate, data protection, labor, and industry-specific laws.
  • Monitor changes in legislation and regulatory requirements.

5. Regulatory & Business Support

  • Provide expert opinions on legal matters impacting business decisions.
  • Liaise with government agencies, regulators, and external auditors.

6. Training & Policy Development

  • Design and deliver legal training to staff on compliance, risk management, and corporate law.
  • Develop standard operating procedures (SOPs) for the legal department.

7. Mergers, Acquisitions & Commercial Transactions

  • Advise on M&A, property law, and commercial transactions.
  • Ensure legal due diligence in business deals.

  • Regulatory compliance (local, state, and industry-specific).
  • Contract law, litigation, and dispute resolution.
  • Corporate governance & risk management.

Qualifications & Experience:

  • Bachelor of Laws (LLB).
  • Admitted to the Bar (Valid LAZ Practicing Certificate).
  • 5+ years of post-qualification experience (in-house or external legal practice).
  • Experience in corporate law, M&A, property law, and commercial transactions.
  • Government/regulatory agency experience (a plus).
  • Proven track record in managing external legal counsel.
