Job Purpose
Reports to Director-Legal, Compliance & Company Secretary. The manager will assist in implementing the CIDRZ’s corporate governance framework, provide corporate secretarial services to the Board of Directors, and provide internal legal services.
Key responsibilities
Provide guidance to internal stakeholders on corporate governance matters including Board protocols and standards.
Drive the implementation of robust governance frameworks, policies and procedures and conduct research and analysis to support sound and compliant decision-making.
Prepare and publish Board and Board Committee notices, agendas, papers and related documentation in line with established governance standards.
Accurately and timely record Board and Board Committee meetings, draft minutes, resolutions and action logs to facilitate accountability, transparency and effective execution of decisions.
Secure timely sign off and approval of meeting minutes and resolutions by relevant authorities.
Coordinate communication and follow-up on Board and Management resolutions, tracking implementation and preparing progress reports to reinforce institutional accountability and performance.
Safeguard Board records and instruments through the secure custody, retrieval and archiving of confidential documentation.
Administer lawful use and custody of CIDRZ’s seal in compliance with the Institutional requirements.
Deliver flexible and high-quality support on assignments and special projects aligned with the CIDRZ’s strategic priorities and governance mandate.
Ensure that all internal policies and procedures comply with relevant legislation and make recommendations for change where necessary;
Provides advice and guidance to CIDRZ on staff matters, procurement and insurance;
Attends to drafting and reviewing Agreements and MOUs to which CIDRZ is a party or has in interest;
Monitor the hard copy repository of all executed Agreements and MOUs entered by CIDRZ;
Monitor the electronic Repository of executed Agreements and MoUs;
Attends to litigation on matters arising out of the internal operations of CIDRZ;
Provides advice and guidance on debt recovery issues arising from CIDRZ’s internal operations and attends to internal debt recovery where appropriate;
Attends to conveyancing in matters where CIDRZ has an interest by drafting, lodging all conveyancing instruments;
Reviews correspondence from all departments concerning internal affairs, analyzing legal implications and compliance with internal and external rules and regulations; and
Undertakes any other duties that may be assigned in relation to the role.
Qualifications and Experience
LLB degree and Advocate of the High Court of Zambia with a valid practicing certificate or master’s degree in corporate governance (or equivalent) with a full Chartered Accountant or ICSA qualification.
Grade 12 School Certificate with a minimum five (5) O’ levels (credit or better)
Minimum of 7 years’ relevant experience in a corporate governance (corporate secretarial) function in an organisation of similar size and complexity.
Qualification in legal drafting will be an added advantage.
Strong knowledge of corporate governance principles, especially within the NGO and public sector.
Sound knowledge of applicable legal frameworks.
Excellent communication skills, with exceptional writing, editing and minute-taking skills, and a keen eye for detail.
Effective negotiation and interpersonal skills.
Strong analytical, research and problem-solving skills.
