Background
NICO Insurance Zambia Limited, a general insurance company, has been operating in Zambia since 1st October 1997 and has branches in Lusaka, Kitwe, Ndola, Livingstone and Chipata. NICO Insurance Zambia Limited is a member of the NICO Group of Companies operating in Malawi.
The Company is seeking to identify a suitably qualified and experienced individual to be engaged as Legal Officer/Company Secretary.
Reporting to:
Chief Executive Officer and the Board of Directors (in Company Secretarial capacity)
Main Purpose of the Job
To provide strategic legal advisory and company secretarial services to NICO Insurance Zambia, ensuring compliance with the Insurance Act, PIA regulations, Companies Act and other applicable legislation, while protecting the company’s legal, regulatory and governance interests.
Main Duties
Main Duties will include the following:
- Provide legal advisory support on underwriting, claims management, reinsurance, intermediaries, and policy wordings
- Review and approve insurance policy documents and endorsements for legal enforceability and compliance
- Advise on claims disputes, repudiations, recoveries, and subrogation matters
- Support product development and regulatory approval processes with PIA
- Oversee litigation and dispute management matters involving the company
- Provide advice on settlement strategies and litigation risks
- Manage external advocates and control legal costs
- Represent the company in negotiations, mediations, and regulatory hearings where required
- Ensure compliance with the Insurance Act, Companies Act, PIA regulations and PACRA requirements
- Manage statutory filings, license renewals and regulatory submissions
- Attend Board and Committee meetings, prepare agendas, minutes, resolutions and board packs
- Maintain statutory registers and governance records
- Advise the Board on corporate governance, fiduciary duties and conflicts of interest
- Draft, review and negotiate commercial contracts including reinsurance, broker, agent and service contracts
- Identify legal and regulatory risks and recommend mitigation measures
- Liaise with regulators including the Pensions and Insurance Authority
- Support mergers, acquisitions, restructuring and other corporate transactions
Qualifications and Experience
- Bachelor of Laws (LLB)
- Admission to the Zambian Bar (ZIALE)
- Minimum 5–8 years post admission experience in legal practice, preferably in insurance or financial services
- Company Secretarial qualification/training will be an added advantage
- Strong knowledge of insurance law, regulatory compliance and claims litigation
Skills and Competencies
- Strong analytical, drafting and research skills
- Excellent written and verbal communication skills
- Sound judgment and decision-making ability
- Ability to manage complex legal and compliance matters
- High level of professionalism, integrity and confidentiality
- Proficiency in Microsoft Word, Excel and PowerPoint
- Paid up member of Law Association of Zambia (LAZ)
